By accessing or using the ByteDusk website and services, you confirm that you are at least 18 years of age, have read and understood these Terms and Conditions, and agree to be bound by them.

ByteDusk is a trading name of Marea Solutions LTD, a company incorporated in England and Wales. Registered address: 128 City Road, London, EC1V2NX.

All intellectual property rights in the ByteDusk website — including text, graphics, logos, software code, and other materials (the “Content”) — are owned by or licensed to ByteDusk. You must not reproduce, distribute, modify, or create derivative works without our prior written consent.

Where custom software, AI systems, or other deliverables are created under a client agreement, ownership and licensing terms will be governed by that specific agreement. Unless explicitly stated otherwise, ByteDusk retains ownership of any proprietary tools, frameworks, and methodologies used.

ByteDusk provides AI-powered voice agent software. While we strive for high accuracy and natural speech, you acknowledge and agree that:

• AI Accuracy & Hallucinations: Our AI may occasionally provide inaccurate information. Clients are responsible for the 'Knowledge Base' data and for reviewing AI-generated summaries/actions.
• Recording & Notification: You are the 'Data Controller' for calls handled by our AI. You must ensure that all callers are legally notified of the recording and processing in accordance with UK GDPR and the Investigatory Powers Act.
• Service Interruptions: We cannot guarantee 100% uptime, as we rely on third-party telecommunications and AI providers.
• Prohibited Use: You must not use our AI agents for illegal telemarketing, scams, or any activity that violates PECR (Privacy and Electronic Communications Regulations).

Pricing is based on individual agreements. Recurring subscriptions follow these rules:

• All fees are exclusive of VAT.
• Cancellations require a 30-day written notice unless stated otherwise.
• Usage fees (e.g., minutes billed by AI providers) will be passed through or billed as per your specific agreement.

Late payments may result in the immediate suspension of AI voice services.

Where ByteDusk processes personal data on behalf of a Client as a 'Data Processor' (e.g., call recordings):

• We process data only on your documented instructions.
• We implement industry-standard technical and organisational security measures.
• A separate Data Processing Addendum (DPA) shall apply to these services.

To the fullest extent permitted by UK law, ByteDusk and Marea Solutions LTD shall not be liable for:

• Any incorrect information provided by the AI agent to your customers or callers.
• Any legal claims arising from your failure to notify callers that they are being recorded.
• Indirect loss, loss of business revenue, or data corruption.

Our total aggregate liability is limited to the fees paid by you in the 12 months preceding any claim.

Both parties must comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Where ByteDusk processes personal data on behalf of a client as a data processor, we will do so only in accordance with the client's documented instructions. These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We aim to resolve disputes directly — please contact us before initiating legal proceedings.
